These Terms and Conditions ("Terms") govern your use of services provided by Rockspire ("Company", "We", "Us", or "Our"), including but not limited to medical equipment resale, buyer sourcing, pricing consultation, negotiation management, and sales coordination.

By accessing or using any of our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, then you may not access or use our services.

Services

Rockspire provides a commission-based resale service for medical businesses looking to sell used or idle equipment. Our services include equipment valuation, buyer outreach, offer management, negotiation handling, and coordination of the sale process. We act as an intermediary between sellers and vetted buyers, facilitating transactions in a secure and professional manner.

Payments

Rockspire operates on a success-fee basis. Our standard fee is 5% of the final sale price, paid only upon a successful transaction unless otherwise agreed to in writing. The fee structure and payment terms may vary depending on the scope of the project, and will be disclosed in advance. Clients agree that this fee serves as an incentive for Rockspire to secure the best possible deal on their behalf.

Refund Policy

Because we operate on a commission basis, no payment is due unless a transaction is completed. Once a deal is finalized and payment is received from the buyer, our fee becomes due and non-refundable.

Cancellation Policy

You may choose to stop working with us at any time prior to the close of a deal. However, if a sale is initiated or facilitated by Rockspire (including but not limited to introductions, negotiations, or buyer interest generated through our efforts), and the transaction is completed, our commission remains due regardless of cancellation notice.

Seller Responsibility

Clients represent that they are the rightful owners of any equipment they request us to sell, and that the equipment is not encumbered by liens, claims, or restrictions. Clients must provide accurate information regarding the condition, history, and ownership of the equipment, and agree to promptly notify us of any changes that may affect its resale.

Results Disclaimer

While Rockspire is committed to securing strong offers and completing transactions efficiently, we make no guarantees regarding the timeline, sale price, or outcome of any particular sale. Equipment resale is influenced by market demand, equipment condition, pricing expectations, and buyer availability. We do not guarantee that every listing or outreach effort will result in a sale.

Intellectual Property

All marketing materials, sales copy, outreach scripts, and documentation created by Rockspire during the resale process remain our intellectual property. Clients may not replicate, reuse, or distribute these materials outside the scope of their own equipment sale without written permission.

Limitation of Liability

To the fullest extent permitted by law, Rockspire shall not be held liable for any indirect, incidental, special, or consequential damages arising from the use of our services, including but not limited to delays, miscommunications, buyer defaults, or unsold equipment. Our total liability shall not exceed the amount paid by the client for our services.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Texas, without regard to its conflict of law rules. Any legal disputes related to these Terms or our services will be subject to the exclusive jurisdiction of the courts located in Texas.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our services or legal obligations. Your continued use of our services after such changes constitutes your acceptance of the revised Terms. We recommend reviewing these Terms periodically.
